The Ascoma Group specializes in insurance brokerage. Its core market is primarily Africa. As part of the Chedid Capital group, which has specialized in reinsurance since its acquisition in 2021, ASCOMA has become one of the major operators in the insurance sector in all countries where the group is present. It remains the market leader in this field today.

Under the supervision of the Group Legal Director and the General Manager of Gabon, we are seeking a Legal Counsel (M/F) on a permanent contract.

Responsibilities:

The legal counsel will be involved in all matters handled by the Legal Department (Corporate, litigation, contracts, industrial property), ensuring regulatory compliance to secure legal operations.

The main responsibilities of the position include, but are not limited to:

  • Managing current matters of the Legal Department
  • Drafting, monitoring, managing, and updating contracts of all types for the Group, in French and English
  • Maintaining corporate secretarial duties for the Group’s French-speaking and English-speaking subsidiaries (preparation of general meetings and board meetings)
  • Drafting legal documents using LEXIS POLY software
  • Updating data in LEXIS POLY software
  • Preparing and updating legal document matrices for the Legal Department
  • Preparing or supervising legal formalities for Ascoma Group companies
  • Participating in restructuring operations
  • Reviewing and updating mandatory company registers
  • Monitoring compliance with professional regulatory provisions applicable to Ascoma Group companies
  • Legal monitoring in the various countries where the Ascoma Group operates (commercial law, insurance law)
  • Monitoring and updating subsidiary files and more generally Legal Department files
  • Managing alerts for end of mandates, end of contracts, various renewals
  • Monitoring compliance with regulatory obligations of subsidiaries holding professional licenses
  • Monitoring litigation and pre-litigation matters for Ascoma Group companies and monthly reporting
  • Participating in Corporate projects
  • Conducting legal studies
  • Performing administrative and secretarial tasks for the Legal Department
  • Filing and archiving physical and electronic files
  • And generally, participating in all missions and activities of the Legal Department

The position holder may be required to perform other duties based on company needs.

Education and Experience:

  • Master’s degree in private law (Corporate/Commercial)
  • Initial experience (5 to 10 years) in a similar position, ideally in a law firm and in a corporate group
  • Perfect command of professional English
  • Perfect command of office tools and Microsoft Office suite (Word – Excel – PowerPoint – MS Forms – SharePoint)
  • Ideally proficient in LEXIS POLY legal software
